3. Client Responsibilities

- Ensure internal stakeholders are available for required consultations or approvals.
- Maintain responsibility for operational decisions and implementation unless explicitly delegated in writing.
4. Fees & Payment
Fees may be structured as fixed-price engagements, milestone-based payments, or hourly consulting rates. All fees and payment terms are outlined prior to the commencement of Services.
Invoices are payable according to the agreed schedule. We reserve the right to suspend work if payment obligations are not met within a reasonable timeframe.
5. Confidentiality & Data Protection
We treat client information with strict confidentiality and implement reasonable technical and administrative safeguards. Access to project materials is restricted to personnel directly involved in delivering the Services.
Where necessary, secure third-party tools (e.g., cloud storage, collaboration platforms) may be used in accordance with appropriate contractual and security standards.
6. Intellectual Property
All methodologies, templates, frameworks, and internal tools developed by Tracy Infotech remain our intellectual property. Clients receive a non-exclusive license to use delivered materials solely for their internal business purposes.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Tracy Infotech’s aggregate liability in connection with the Services is limited to the total fees paid for the specific engagement.
We are not liable for indirect, incidental, or consequential losses, including but not limited to loss of profit, business interruption, or third-party system failures.
Technology environments are dynamic. Outcomes may depend on vendor policies, infrastructure configurations, and external dependencies beyond our reasonable control.
8. Third-Party Services
Our recommendations may involve third-party platforms or vendors (e.g., cloud providers, SaaS platforms). Tracy Infotech is not responsible for the performance, pricing, or policies of third-party services.
9. Termination
Either party may terminate an engagement with reasonable notice. Termination does not relieve the client of payment obligations for Services already delivered.
10. Compliance & Ethical Standards
We operate in accordance with ethical business practices and applicable regulations. We reserve the right to decline or terminate engagements that conflict with legal or compliance standards.
11. Governing Law
These Terms are governed by the laws applicable to the Company’s registered jurisdiction. Any disputes should first be addressed through good-faith discussions aimed at reaching a practical resolution.
